These Terms of Use ("Terms") govern your access to and use of the Ventry website, platform, artificial intelligence tools, and all related services (collectively, the "Services"). By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Services.
Ventry is an independently owned and operated online platform based in the Commonwealth of Virginia, United States. References throughout these Terms to "Ventry," "we," "our," or "us" refer to the owner and operator of the Ventry platform.
These Terms are intended to clearly define the relationship between you and Ventry, your rights and responsibilities while using the Services, and the limitations of Ventry's responsibility for the information and tools it provides.

"Services" means the Ventry website, AI-powered tools, business planning features, educational content, software, digital products, and any related functionality made available by Ventry.
"User," "you," or "your" means any individual who accesses or uses the Services.

"Output" means any response, recommendation, report, business plan, analysis, roadmap, suggestion, or other content generated by the Services in response to User Content.
"Third-Party Services" means products or services provided by companies other than Ventry, including but not limited to artificial intelligence providers, payment processors, website hosting providers, analytics providers, and infrastructure providers.
2. Eligibility
The Services are intended solely for individuals who are at least eighteen (18) years of age.
By using Ventry, you represent and warrant that:

Ventry does not make business decisions for users and does not guarantee the accuracy, completeness, legality, or suitability of any Output generated by the Services.
4. Nature of the Services
You acknowledge and agree that:
The Services use artificial intelligence to generate responses based on information you provide.
Artificial intelligence systems are probabilistic in nature and may generate responses that are inaccurate, incomplete, inconsistent, outdated, or unsuitable for your specific circumstances.
Outputs generated by the Services should never be treated as guaranteed facts, professional advice, or assurances of future business success.
Ventry's purpose is to assist users in organizing ideas and supporting independent decision-making—not to replace human judgment or professional expertise.
5. User Responsibilities
By using the Services, you agree that you are solely responsible for:

You agree that you will not:

Violation of this section may result in immediate suspension or permanent termination of access.
7. No Professional Relationship
Your use of the Services does not create any professional, fiduciary, advisory, agency, employment, partnership, joint venture, attorney-client, accountant-client, financial advisor-client, or consulting relationship between you and Ventry.
You acknowledge that no special duty of care arises from your use of the Services.
8. No Professional Advice
The Services are provided solely for informational and educational purposes.
Nothing provided through the Services constitutes:

9. No Guarantees
Ventry makes no representations or warranties regarding:

Trademark availability;

Patentability;
-
Business viability; or
-
Any future outcome.
Business success depends upon numerous factors outside the control of Ventry.
You acknowledge that no Output generated by the Services constitutes a promise, guarantee, or prediction of future results.
10. Third-Party Services
To provide the Services, Ventry relies on third-party providers for certain functionality, infrastructure, and payment processing.
These providers may include, but are not limited to:

Artificial intelligence providers;

Payment processors;
-
Website hosting providers;
-
Cloud infrastructure providers;
-
Analytics providers; and
-
Other technology vendors necessary for operation of the Services.
Your use of certain portions of the Services may also be subject to the terms, privacy policies, and practices of those third-party providers.
Ventry does not own or control Third-Party Services and is not responsible for their availability, security, performance, policies, actions, or omissions.
Any interruption, limitation, or failure of a Third-Party Service may affect the availability or functionality of the Services.
11. Artificial Intelligence Services
Certain features of the Services utilize artificial intelligence provided through third-party technology providers to generate Outputs.
By submitting User Content through the Services, you acknowledge and agree that your submitted information may be transmitted to third-party artificial intelligence providers solely for the purpose of generating the requested Output.
Ventry does not guarantee:

the accuracy of AI-generated information;
-
factual correctness;
-
completeness;
-
legal compliance;
-
suitability for your circumstances;
-
originality; or
-
availability of AI-generated responses.
Artificial intelligence systems may generate incorrect, misleading, incomplete, inconsistent, or outdated information.
You acknowledge that:

AI-generated Outputs should always be independently evaluated;

AI systems do not exercise human judgment;
-
AI-generated Outputs may resemble information generated for other users; and
-
You are solely responsible for determining whether any Output is appropriate for your intended use.
Ventry may modify, replace, suspend, or discontinue any AI functionality at any time without notice.
12. User Content
You retain ownership of any original User Content you submit to the Services.
Ventry does not claim ownership of your original business ideas, prompts, documents, or other User Content.
By submitting User Content, you grant Ventry a limited, non-exclusive, revocable license to process that content solely as reasonably necessary to:

operate the Services;

generate requested Outputs;

maintain the functionality and security of the Services; and
-
comply with applicable legal obligations.
Except as required to provide the Services or comply with applicable law, Ventry does not intentionally retain User Content after it has been processed.
You are solely responsible for ensuring that you have the legal right to submit any User Content.
You agree not to submit:

confidential information you are not authorized to disclose;

trade secrets belonging to another person or organization;
-
information that infringes another person's intellectual property rights;
-
unlawful content; or
-
malicious or harmful material.
13. AI-Generated Outputs
Subject to applicable law and the rights of any third-party technology providers, you retain any rights you may have in Outputs generated specifically in response to your requests.
Nothing in these Terms transfers ownership of the Ventry platform, its software, website, branding, documentation, workflows, prompts, or other original materials.
Because artificial intelligence systems may generate similar responses for multiple users, Ventry does not guarantee that any Output will be unique or exclusive.
You acknowledge that similar or identical Outputs may be generated for other users based on similar requests.
You are solely responsible for determining whether an Output is suitable for commercial use, publication, implementation, or other purposes.
14. Intellectual Property
The Services, including their design, organization, branding, logos, graphics, website layout, original written content, documentation, software (where applicable), workflows, prompts, and other original materials are owned by Ventry or are used under license.
Nothing contained within the Services grants you ownership of any portion of the Services.
You may not, except where expressly permitted by applicable law:

reproduce the Services;

distribute the Services;
-
sell or sublicense the Services;
-
modify the Services;
-
create derivative works from the Services;
-
publicly display substantial portions of the Services; or
-
exploit the Services for commercial purposes without prior written permission.
The names, trademarks, logos, and branding of third-party providers remain the property of their respective owners.
15. Feedback
If you voluntarily provide feedback, suggestions, ideas, feature requests, bug reports, or recommendations regarding the Services ("Feedback"), you grant Ventry a perpetual, worldwide, royalty-free, irrevocable, non-exclusive license to use, modify, reproduce, publish, and incorporate that Feedback into the Services without compensation or attribution.
You acknowledge that providing Feedback is entirely voluntary.
16. Payments
Certain Services may require payment.
All payments are processed exclusively through Stripe, an independent third-party payment processor.
Ventry does not collect, store, or have access to your complete payment card information.
Your payment information is collected and processed directly by Stripe in accordance with Stripe's own terms and privacy practices.
You are responsible for providing accurate billing information and ensuring that your selected payment method remains valid.
Failure to successfully process payment may result in suspension or denial of access to paid Services.
17. Pricing
Prices for paid Services may be changed at any time.
Any pricing changes will apply prospectively and will not affect purchases already completed.
Ventry reserves the right to modify, introduce, or discontinue pricing, plans, subscriptions, or paid features without prior notice.
18. No Refund Policy
All purchases made through the Services are final.
Because Ventry provides immediate access to digital services and AI-generated content upon purchase, all fees paid to Ventry are non-refundable to the fullest extent permitted by applicable law.
By purchasing any paid Service, you expressly acknowledge and agree that:

you are purchasing access to digital services;
-
the Services may begin immediately after payment is completed;
-
you waive any expectation of a refund except where required by applicable law; and
-
dissatisfaction with AI-generated Outputs, business outcomes, personal expectations, or subjective opinions does not entitle you to a refund.
Nothing in this section limits any non-waivable rights you may have under applicable consumer protection laws.
19. Service Availability
Ventry continually develops, improves, and updates the Services.
Accordingly, we reserve the right, at any time and without prior notice, to:

modify features;

discontinue features;
-
introduce new functionality;
-
perform maintenance;
-
correct errors;
-
address security vulnerabilities; or
-
temporarily suspend access to the Services.
We do not guarantee uninterrupted availability, continuous uptime, or error-free operation.
Maintenance, technical failures, third-party outages, internet disruptions, cybersecurity incidents, or circumstances beyond our reasonable control may temporarily affect availability.
You acknowledge that occasional interruptions are an inherent part of online services.
20. Beta and Experimental Features
From time to time, Ventry may offer experimental, beta, preview, or early-access features.
These features are provided solely for testing and evaluation purposes.
Beta features may contain bugs, inaccuracies, incomplete functionality, or unexpected behavior.
Ventry makes no guarantees regarding the availability, performance, or future release of beta features.
Your use of any beta feature is entirely voluntary and at your own risk.
21. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VENTRY, INCLUDING ITS OWNER, OPERATORS, CONTRACTORS, SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE "PROTECTED PARTIES"), DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
THIS INCLUDES, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF:

Merchantability;

Fitness for a particular purpose;

Non-infringement;

Title;
-
Accuracy;
-
Reliability;
-
Availability;
-
Security; and
-
Uninterrupted operation.
WITHOUT LIMITING THE FOREGOING, VENTRY DOES NOT WARRANT THAT:

the Services will always be available;

the Services will operate without interruption;

defects or errors will be corrected;
-
the Services will be secure or free from vulnerabilities;

Outputs will be accurate, complete, current, or reliable;

Outputs will be unique or original;
-
Outputs will satisfy your expectations; or
-
the Services will be suitable for your intended purpose.
YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR OWN RISK.
22. No Guarantee of Business Results
Ventry is an educational and planning platform.
Nothing within the Services should be interpreted as a guarantee, prediction, promise, warranty, or assurance of any business outcome.
To the fullest extent permitted by applicable law, Ventry makes no representation or warranty regarding:

business success;

profitability;
-
revenue generation;
-
funding opportunities;
-
investor interest;
-
customer acquisition;
-
regulatory approval;
-
legal compliance;
-
trademark availability;
-
patentability;
-
market demand;
-
commercial viability; or

achievement of any financial or commercial objective.
Business success depends upon numerous factors beyond Ventry's control, including market conditions, execution, competition, economic conditions, regulatory changes, customer behavior, and individual decision-making.
23. Assumption of Risk
You acknowledge that starting, operating, financing, investing in, or managing a business involves substantial financial, legal, commercial, and operational risk.
By using the Services, you voluntarily assume all risks associated with:

making financial decisions;

investing money;

entering contracts;

hiring employees or contractors;

purchasing products or services;

any other actions taken based upon the Services or any Output.
You accept full responsibility for evaluating the suitability of any Output before acting upon it.
24. Independent Decision-Making
Ventry provides informational and educational assistance only.
The Services do not make decisions for you.
You remain solely responsible for:

evaluating every Output;
-
conducting independent research;
-
verifying factual information;
-
obtaining professional advice where appropriate;
-
determining whether any recommendation is appropriate for your circumstances; and
-
accepting responsibility for every decision you make.
You agree not to rely exclusively upon the Services when making legal, financial, tax, investment, employment, regulatory, or other significant business decisions.
25. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PROTECTED PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, REGARDLESS OF THE LEGAL THEORY ASSERTED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.
WITHOUT LIMITING THE FOREGOING, THE PROTECTED PARTIES SHALL NOT BE LIABLE FOR:

loss of goodwill;

loss of anticipated savings;

loss of data;

business interruption;

regulatory penalties;

investment losses;

interruptions in service;
-
failures of third-party providers;
-
failures of payment processors;
-
failures of artificial intelligence providers;
-
internet outages;
-
cybersecurity incidents; or
-
any indirect, consequential, incidental, or special damages of any kind.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE PROTECTED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:
(A) THE TOTAL AMOUNT PAID BY YOU TO VENTRY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(B) ONE HUNDRED UNITED STATES DOLLARS (US $100).
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY WHERE SUCH EXCLUSION OR LIMITATION IS PROHIBITED BY APPLICABLE LAW.
26. Indemnification
You agree to defend, indemnify, and hold harmless the Protected Parties from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

your use of the Services;

your User Content;
-
your violation of these Terms;
-
your violation of applicable law;
-
your infringement or alleged infringement of the rights of any person or entity;

your misuse of any Output; or
-
your negligence, misconduct, or intentional wrongful acts.
Ventry reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully in the defense of any such matter.
27. Force Majeure
The Protected Parties shall not be liable for any delay, interruption, degradation, or failure to perform resulting from events beyond their reasonable control.
Such events include, without limitation:

natural disasters;

acts of government;
-
war;
-
terrorism;
-
civil unrest;
-
labor disputes;
-
internet outages;
-
utility failures;
-
cyberattacks;
-
failures of artificial intelligence providers;
-
failures of payment processors;
-
failures of hosting providers;
-
epidemics;
-
pandemics; or
-
any other event beyond reasonable control.
28. No Waiver
Failure by Ventry to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Any waiver shall be effective only if made in writing by an authorized representative of Ventry.
29. Survival
The following provisions shall survive termination of your access to the Services:

31. Suspension and Termination
Ventry reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate your access to all or any portion of the Services if we reasonably believe that:

You have violated these Terms;

You have used the Services unlawfully;
-
You have attempted to compromise the security or integrity of the Services;
-
Your use poses a risk to Ventry, other users, or third parties;
-
Continued access would expose Ventry to legal or operational risk; or
-
We discontinue the Services or any portion of them.
Termination of access does not relieve you of any obligations that accrued prior to termination.
32. Changes to the Services
Ventry is continuously developed and improved.
Accordingly, we reserve the right to:

Modify existing functionality;
-
Remove features;
-
Suspend portions of the Services;
-
Replace technology providers;
-
Change pricing;
-
Correct errors;
-
Improve security; or
-
Discontinue the Services entirely,
at any time and without prior notice.
Nothing in these Terms guarantees the continued availability of any particular feature.
33. Changes to These Terms
We may revise these Terms from time to time.
When material changes are made, the updated Terms will be published on the Ventry website with a revised Effective Date.
Your continued use of the Services after revised Terms become effective constitutes your acceptance of those changes.
If you do not agree to the revised Terms, you must discontinue use of the Services.
34. Privacy
Your use of the Services is also governed by the Ventry Privacy Policy, which is incorporated into these Terms by reference.
To the extent there is any conflict between these Terms and the Privacy Policy, these Terms shall govern unless otherwise required by applicable law.
35. Worldwide Availability
Ventry is operated from the Commonwealth of Virginia, United States.
Although the Services may be accessible from other countries, Ventry makes no representation that the Services or their content are appropriate, lawful, or available for use in every jurisdiction.
You are solely responsible for ensuring that your use of the Services complies with all laws applicable to you.
36. Governing Law
These Terms and any dispute arising from or relating to the Services shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles.
37. Jurisdiction and Venue
You agree that any legal action, claim, or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located within the Commonwealth of Virginia.
You consent to the personal jurisdiction of those courts and waive any objection based on improper venue or forum non conveniens to the extent permitted by applicable law.
38. Limitation on Time to Bring Claims
To the fullest extent permitted by applicable law, any claim or cause of action arising out of or relating to the Services or these Terms must be commenced within one (1) year after the claim arises.
Claims not brought within that period are permanently barred.
If applicable law prohibits this limitation, the shortest legally permissible limitation period shall apply.
39. Assignment
You may not assign or transfer any rights or obligations under these Terms without Ventry's prior written consent.
Ventry may assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, business restructuring, or operation through a newly formed legal entity.
40. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law.
The remaining provisions shall remain in full force and effect.
41. Entire Agreement
These Terms, together with the Privacy Policy and any additional legal policies expressly incorporated by reference, constitute the entire agreement between you and Ventry regarding the Services.
They supersede all prior discussions, understandings, representations, or agreements relating to the Services.
42. Electronic Communications
By using the Services, you consent to receive communications from Ventry electronically, including notices regarding these Terms, the Privacy Policy, purchases, and updates to the Services.
Electronic communications satisfy any legal requirement that such communications be in writing where permitted by applicable law.

44. Acknowledgement
BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS OF USE.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.
